Certification of consolidated Financial Statements

1. The undersigned Rodolfo De Benedetti, in his role as Chief Executive Officer and Alberto Piaser, as Officer responsible for the preparation of the Financial Statements of the company CIR

S.p.A. hereby certify, taking into account even the terms of art. 154-bis, paragraphs 3 and 4, of Legislative Decree no. 58 of February 24 1998:

• that the administrative and accounting procedures for the preparation of consolidated financial statements during the year 2008 were adequate in relation to the size and nature of the business and
• that they were effectively applied.

2. On this subject no aspects emerged that needed to be notified.

3. It is also certified that the Consolidated Financial Statements:

• Were prepared in conformity with the international accounting standards (IAS/IFRS) recognized by the European Union according to the terms of Regulation (EC) No. 1606/2002 of the European Parliament and of the Council, of July 19 2002;
• Correspond to the results of the books and the general ledger; - Are suitable to give a true and fair representation of the equity, economic and financial position of the issuer and of all the companies included in the consolidation.

The Report on Operations includes a reliable analysis of performance and of the result of operations as well as the position of the issuer and of all the companies included in the consolidation, together with a description of the principal risks and uncertainties to which they are exposed.
